These "Terms of Service"(Agreement) must be read carefully by any registered users of NIN Ventures (or NIN.V) . By becoming a registered user of NIN.V you agree that this Agreement is legally binding to you.

REGISTERED USER QUALIFICATION

One must be an accredited investor to be a registered user of NIN.V. An “accredited investor” (as defined in Regulation D) can be based on Financial and Professional criteria. For Financial criteria, in the case of an individual investor, such investor has earned at least $200,000 (or $300,000 with such person’s spouse) in each of the last two years and is expected to earn at least $200,000 (or $300,000 with such person’s spouse) in the current year, or such investor has a net worth exceeding $1,000,000, either individually or jointly with such person’s spouse, excluding such person’s primary residence.

For Professional criteria, Investment professionals in good standing holding the general securities representative license (Series 7), the investment adviser representative license (Series 65), or the private securities offerings representative license (Series 82); directors, executive officers, or general partners (GP) of the company selling the securities (or of a GP of that company); Any “family client” of a “family office” that qualifies as an accredited investor; and for investments in a private fund, “knowledgeable employees” of the fund. In the case of an entity investor (corporations, partnerships, LLCs, trusts, 501(c)(3) organizations, employee benefit plans, “family office” and any “family client” of that office), such investor has total assets and investments in excess of $5,000,000. Entities where all equity owners are accredited investors. Investment advisers (SEC- or state-registered or exempt reporting advisers) and SEC-registered broker-dealers. Financial Entities like a bank, savings and loan association, insurance company, registered investment company, business development company, or small business investment company, or rural business investment company. Also, you must be 18 or older to be a registered user and or an investor in NIN.V

AUTHORIZED USER

The website has two kinds of users: registered users and Investors. Registered users only get access to fund marketing materials, events, appointments, and other legal documents. Investors get access to all of the above, plus notices, fund performance reports, and other investor-related documents/events.

Only registered users with a valid User ID and password are authorized to access our website. Unauthorized use of the website, including, but not limited to, the misuse or sharing of passwords or the misuse of any other information, is strictly prohibited. You may not use the website in any manner that could damage, disable, overburden, or impair the website. You agree that you will not engage in any activities related to the website that are contrary to applicable laws or regulations. You further agree that you are responsible for any unauthorized use of your password that is made before you have notified us and we have had a reasonable opportunity to act on that notice. NIN.V reserves the right at its discretion to suspend or cancel your password, even without receiving such notice from you, if we suspect that it is being used in an unauthorized or fraudulent manner. Notwithstanding the above, you are responsible for monitoring your account and should promptly report any unauthorized or suspicious activity in your account to us at contact@nin.ventures 

USE OF LINKS / THIRD PARTY CONTENT / SOCIAL MEDIA

The third-party links on the website are solely for informational purposes and should be used at your own risk. NIN.V does not take responsibility for the content, accuracy, legality, or any other aspect of those websites or reports. Also, the third parties referenced on the links and reports have not consented or approved of our use of materials or the advisability of an investment in NIN.V 

Our website also includes links to social media websites. Your interaction with those websites is governed by the policies of those companies. Our website may offer a publicly accessible blog. Any content provided by us is solely for information purposes and you should be aware that any comments provided by you can be read, collected, and used by others who can access them.

INTELLECTUAL PROPERTY POLICY

If you believe that any linked material on our website violates your intellectual property rights, please notify NIN.V by sending an email to contact@nin.ventures with the basis for your claim. We reserve the right to remove any of the content or links on our website without prior notice and at our sole discretion.

TERMINATION

NIN.V reserves the right to terminate your access to all or any part of the website at any time for any reason. If you wish to terminate your account as a registered user, you may do so by sending an email requesting termination at contact@nin.ventures . This Agreement and all of its provisions shall survive termination of your account.

WARRANTY DISCLAIMER

NIN.V does not make any representation, warranty, covenant, guarantee, or promise regarding specific results from use of this website.

INDEMNIFICATION EXCULPATION

You agree to indemnify and hold harmless NIN.V, its affiliates, and their representatives from all liabilities, claims, and expenses that arise from or are related to your use or misuse of this website.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware, without giving effect to any principles of conflicts of law.

USER INFORMATION

In consideration of your use of the website, you agree to (a) provide accurate, current and complete information about you; (b) maintain the security of your password and identification; (c) maintain and promptly update any information about you in order to keep it accurate, current and complete; and (d) accept all risks of unauthorized access to your information.

INTEGRATION AND SEVERABILITY

This Agreement is the entire agreement between you and NIN.V with respect to the use of our website, and supersedes all prior or contemporaneous communications (whether oral, written, or electronic) between you and NIN.V with respect to the website. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

PAYMENTS

NIN VENTURES CAPITAL CONTRIBUTIONS AND OTHER PAYMENTS

If you decide to invest with NIN.V, your required capital contributions and other payments due to NIN.V will be governed by the fund and subscription agreements.

MODIFICATION OF THE TERMS OF SERVICE 

NIN Ventures, at its sole discretion, reserves the right to modify or replace any of the terms of this Service.
